Terms of Service

1. Acceptance of Terms

By accessing or using PerfectPx AI (the "Service") at https://ai.perfectpx.org, you ("you" or "User") agree to be bound by these Terms of Service (the "Terms"). These Terms form a binding legal agreement between you and PerfectPx AI ("we", "us", or "our"). If you do not agree with any part of these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 13 years of age (or the equivalent minimum age in your jurisdiction) to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Service you represent and warrant that you meet these eligibility requirements and that you have the legal capacity to enter into these Terms. The Service is not directed to children under 13, and we do not knowingly collect information from such children.

3. Description of the Service

PerfectPx AI is an AI-powered platform that helps users generate short-form videos, images, audio, and captions from text prompts, voice scripts, and visual assets. The Service also offers optional publishing integrations with third-party platforms — currently YouTube, TikTok, and Instagram — so that you can post the content you generate directly to your own accounts on those platforms. We may add, modify, or remove features at any time.

4. User Accounts & Security

You must create an account to access most features of the Service. You are responsible for (a) maintaining the confidentiality of your account credentials, (b) all activity that occurs under your account, and (c) promptly notifying us at info@perfectpx.org of any actual or suspected unauthorized access. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You may not share, sell, or transfer your account to anyone else. We are not liable for any loss or damage arising from your failure to comply with these obligations.

5. Acceptable Use

You agree not to use the Service, and not to generate, upload, or publish content through the Service, that:

  • Violates any applicable law, regulation, or third-party right;
  • Infringes the intellectual property, privacy, publicity, contractual, or other rights of any third party;
  • Contains hateful, harassing, sexually explicit, child-exploitative, or gratuitously violent material;
  • Is defamatory, misleading, deceptive, or impersonates another person or entity;
  • Promotes illegal activity, self-harm, or harm to others;
  • Contains malware, spam, phishing, or other malicious code; or
  • Attempts to interfere with, disrupt, reverse-engineer, scrape, overload, or gain unauthorized access to the Service, its infrastructure, or other users' accounts.

You are solely responsible for the content you generate and publish through the Service. We may, but are not obligated to, review, remove, or restrict access to any content that we believe in good faith violates these Terms.

6. Third-Party Integrations

When you connect a third-party account (such as YouTube, TikTok, or Instagram) to PerfectPx AI, you authorize us to act on your behalf only to perform the specific actions you initiate, such as uploading a video. Your use of those third-party services is governed by their respective terms and policies:

You can disconnect any integration at any time from within PerfectPx AI or from the third-party platform's own account settings. We are not responsible for the availability, behavior, or content of third-party services, and we are not liable for any loss or damage arising from your use of them.

7. Your Content & Licenses

"Your Content" means the prompts, scripts, voice samples, images, videos, audio, captions, and other materials you upload to, or create through, the Service.

You retain all rights you have in Your Content. You represent and warrant that you own or have all necessary rights, licenses, and permissions to use Your Content in the Service and to grant the licenses below.

To operate the Service you grant PerfectPx AI a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, process, and transmit Your Content solely for the purpose of providing, securing, maintaining, and improving the Service for you — including by passing it through the AI providers, encoders, and publishing endpoints required to fulfill your requests. This license ends when you delete Your Content, except (a) for backups retained for a reasonable period and (b) where retention is required by law.

8. AI-Generated Content

Content generated by AI through the Service ("AI Output") is provided "as is." You are responsible for reviewing AI Output before publishing it. We do not guarantee that AI Output is accurate, original, suitable for any particular purpose, or free of third-party rights. Different AI providers may impose their own restrictions on the AI Output they produce; you are responsible for complying with those restrictions where they apply to your use case.

As between you and PerfectPx AI, and to the extent permitted by applicable law and by the underlying AI providers' terms, you own the AI Output you generate through the Service for your own use. AI Output is not unique, and other users may generate similar or identical output.

9. Our Intellectual Property

The Service — including its software, source code, design, user interface, branding, logos, trademarks, and content (excluding Your Content and AI Output) — is owned by PerfectPx AI and protected by intellectual-property laws. Except for the limited rights expressly granted to you in these Terms, no rights are granted to you in or to our intellectual property. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part of it without our prior written consent.

10. Feedback

If you choose to send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use that feedback for any purpose, without any obligation or compensation to you.

11. Fees, Billing & Refunds

Some features of the Service require a paid subscription or one-time purchase. Pricing, billing cycles, payment methods, and any applicable taxes are presented to you at the point of purchase. By purchasing, you authorize us (and our payment processor) to charge the payment method you provide.

Subscriptions automatically renew at the end of each billing period unless cancelled before the period ends. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

Except where required by law, all payments are non-refundable. We may change pricing with reasonable advance notice; price changes take effect at the start of the next billing period.

12. Suspension & Termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe that (a) you have violated these Terms, (b) suspension or termination is necessary to protect the Service, other users, or third parties, or (c) we are required to do so by law or by a governmental request.

You may stop using the Service and delete your account at any time. Upon termination, the licenses you grant us continue to apply only to the extent necessary for residual operational purposes (such as backups and legal compliance). Sections of these Terms that by their nature should survive termination — including Sections 7, 8, 9, 10, 13, 14, 15, 17, and 18 — will survive.

13. Disclaimer of Warranties

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PERFECTPX AI OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless PerfectPx AI and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with (a) Your Content or your use of the Service, (b) your violation of these Terms or any applicable law, or (c) your violation of any rights of a third party.

16. Changes to the Service and to These Terms

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of these Terms and, where appropriate, notify you by additional means such as email or an in-product notice. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Service.

17. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which PerfectPx AI is operated, without regard to its conflict-of-laws principles. You and PerfectPx AI agree that any dispute arising out of or relating to these Terms or the Service will first be addressed through good-faith negotiation. If the dispute is not resolved within sixty (60) days, it will be brought exclusively in the competent courts of the jurisdiction in which PerfectPx AI is operated, except where applicable consumer-protection laws grant you the right to bring an action in your place of residence.

18. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PerfectPx AI regarding the Service and supersede any prior agreements between you and us relating to its subject matter.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  • Force Majeure. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or governmental action.
  • No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and PerfectPx AI.
